By participating in this Trade-In Program YOU AGREE TO BE BOUND BY THESE TERMS & CONDITIONS. It is your responsibility, prior to participating in this Trade-In/Trade-Up Program, to read these Terms & Conditions carefully to understand your rights and obligations. You must be a resident of the contiguous United States to be eligible for the SPOT Imaging Solutions Trade-In/Trade-Up program. This Trade-In/Trade-Up Program is valid through SPOT Imaging Solutions' employees only. SPOT Imaging Solutions dealers and their agents, subagents, and other distributors of SPOT Imaging Solutions are not eligible to participate in the program.
Releasing Rights to Your Traded In Product
Once you trade in your product, SPOT Imaging Solutions cannot and does not guarantee that it will be able to honor any request for return of the product and/or any data or information contained in said product.
Fitness for Sale
You must own the right, title, and interest in any and all items you seek trade-in through the SPOT Imaging Solutions Trade-In/Trade-Up Program. Such items, or the sale and shipment of such items, must not violate any applicable laws, statutes, ordinances, or regulations including export laws. You are responsible for complying with any and all such laws. Any items you seek to trade-in: (1) shall not infringe on third party intellectual property rights (including copyrights, trademarks, patents, trade secrets or other Proprietary rights) or (2) shall not be counterfeit, stolen, or fraudulent. In addition, the camera MUST be digital or video, NOT film. Returned systems should include all cables, power supplies/batteries, memory cards, proprietary interface cards, and software to run cameras.
ShippingSPOT Imaging Solutions will provide collection of the equipment either via UPS Call Tag or by direct SPOT Imaging Solutions Representative pick up. If SPOT Imaging Solutions is damaged or incurs any kind of expense because you were not authorized to transfer ownership of the camera, because of the condition of the camera, or because of any software or other information stored on the camera, you agree to defend, indemnify and hold SPOT Imaging Solutions harmless from any liability, claim, or expense associated therewith. If SPOT Imaging Solutions accepts the camera, you transfer all right, title and interest in the camera to SPOT Imaging Solutions Your transfer of the camera to SPOT Imaging Solutions may not be revoked by you.
THESE TERMS AND CONDITIONS ARE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH MICHIGAN LAW, AND NO CONFLICT OF LAWS OR PROVISIONS OF ANY JURISDICTION WILL APPLY TO THESE TERMS AND CONDITIONS. BY TRADING IN YOUR CAMERA YOU AGREE THAT ANY ACTION AT LAW OR INEQUITY ARISING OUT OF OR RELATING TO THESE TERMS AND CONDITIONS WILL BE FILED ONLY IN STATE OR FEDERAL COURT LOCATED IN MACOMB COUNTY, MICHIGAN, AND YOU HEREBY IRREVOCABLY AND UNCONDITIONALLY CONSENT AND SUBMIT TO THE EXCLUSIVE JURISDICTION OF SUCH COURTS OVER ANY SUIT, ACTION, OR PROCEEDING ARISING OUT OF THESE TERMS AND CONDITIONS.
